About the Role
Assist sales and trading to draft termsheets for derivatives structured products in all forms including notes, swaps, options, warrants, certificates and funds.
Prepare pricing supplements for securitised products and review of confirmations for OTC products.
Manage the system that records flow transactions and work closely with the relevant internal departments to receive approvals for each trade.
Advise sales and trading on legal/regulatory issues. Discuss with Legal and Compliance on new issues and organize special product approvals.
Work with other structuring team members on projects that develop new platforms and products, including working with external counsel on documentation, advising on legal matters and assisting the team to make progress on projects.
Work with other structuring team members on custom strategy (i.e. algorithm based index) approvals including preparing index materials, marketing materials and product termsheets and transaction documents.
Manage the annual update of the note platforms and listed structured products program.
Key Responsibilities
Familiar with cross-asset ISDA terms and conditions, including equity, commodities, funds, fx and rates.
Good knowledge of derivatives and structured products in terms of basic pay-offs and wrappers.
Good understanding of structured notes programs and the relevant regulatory requirements.
Capable of drafting termsheets and offer documents and discussing with sales and trading on the terms.
Good knowledge of legal contracts such as purchase agreements, distribution agreements, dealer agreements, confidentiality agreements; comfortable with negotiating with clients on these agreements.
Good knowledge of the basic legal/regulatory framework in the main Asian markets including HK, Singapore, China, Taiwan and Japan.
Good knowledge of the platform for issuing structured products listed on the Hong Kong Stock Exchange.
Qualifications
At least 5 years of relevant work experience.
Proven record of successfully leading a team as the ideal candidate is expected to be the team leader for the transaction management function and be able manage and train a team of five based in Hong Kong and India.
Qualified lawyer or attorney in England, U.S. or Hong Kong. EU jurisdiction, Commonwealth jurisdiction or PRC lawyers will also be considered.
Worked in-house or seconded in-house at an Investment Bank is preferred.
Worked for or received training from a reputable law firm.
Proficiency in both written and spoken English and Chinese (Cantonese and/or Mandarin)
