J.D. (Juris Doctor) degree from an accredited ABA law school. Admission to the New York State Bar (or eligibility for admission within six months) and a strong academic background. Five (5) years of full time legal experience, including an extensive background handling various healthcare related transactional matters including mergers and acquisitions, joint ventures, service agreements, and complex transactional contracts. Prior legal experience in the area of health law.
Preferred Qualifications:
Prior in-house experience at an academic medical center and/or hospital setting.
Brief Description of Duties:
The OGC Satellite Office located at Stony Brook University in Suffolk County, New York invites applications for the position of Senior Counsel-Health Affairs. As a member of the OGC, the Senior Counsel-Health Affairs will work closely with other OGC attorneys to provide legal services to SUNY clients on issues related to healthcare, healthcare compliance, complex healthcare transactions, fraud and abuse, general health law and regulatory issues, including hospital physician compensation and recruitment arrangements, provider-based agreements, and joint business ventures. The position reports directly to the Chief Campus Counsel. The candidate will also have excellent oral and written communication skills including tact, diplomacy, and interpersonal skills. The candidate must have comfort with and experience using technology to complete legal work, including knowledge of and experience with various computer software programs and case management and electronic discovery platforms.
Incumbent must have excellent legal analysis, legal writing and editing, and oral advocacy skills, high ethical standards and mature judgment. The candidate will provide legal advice to clients at the university and will be expected to handle and oversee a broad range of health law assignments, including:
- Serving as a lawyer/legal advisor on all major transactions involving Stony Brook Medicine providing leadership and guidance with an emphasis on identifying creative solutions for a diverse range of complex legal issues.
- Analyzing and providing advice on all legal matters affecting health care transactions, including mergers and acquisitions, joint ventures, services agreements and other corporate transactions, corporate governance matters, and procurement agreements, clinically integrated networks, and related entities, as well as general hospital and physician transactions/employment.
- Leading and/or managing the drafting of complex transactional contracts for both Stony Brook University and Stony Brook Medicine.
- Advising and counseling on issues affecting corporate formation and dissolution, purchasing, software contracts, discounts/rebates, and general health care law, as well as state and federal regulatory matters.
- Substantive experience with Medicare/Medicaid regulations (including population health risk-based arrangements), managed care contracting, and regulatory compliance.
- Advising on the University strategic plan and long-term strategic goals.
- Other duties or projects as assigned as appropriate to rank and departmental mission.
About the Office of General Counsel
The Office of General Counsel ("OGC") provides legal services and support to the State University of New York ("SUNY") Board of Trustees, the Chancellor and senior officers in System Administration at Albany, New York, and the presidents and administrators of the campuses within the System. Under the leadership of the Senior Vice Chancellor for Legal Affairs and the General Counsel, the OGC is responsible for providing legal services to the System and the 29 state operated campuses. The OGC consists of 45+ experienced higher education attorneys, paralegals and support staff located in Albany at the System Administration headquarters and in campus-based offices at the four University Centers, Health Science Centers, and various SUNY colleges.
The legal practice of the OGC involves a substantial array of topics, including public procurement, governance and ethics, legislation, health care, capital construction, public finance, labor grievances and arbitration, litigation oversight (the New York State Office of the Attorney General defends litigation brought against SUNY), student affairs, and the use of real property. The OGC represents SUNY in interactions with State officials who may regulate the affairs of the University, including the Attorney General, State Comptroller, the Governor and staff, and members of the State Legislature and staff as well as other state and local agencies and related entities.

This is a Management Confidential position. This is a full time appointment. FLSA Exempt position, not eligible for the overtime provisions of the FLSA. Minimum salary threshold must be met to maintain FLSA exemption.
This position will be based on-site working in Stony Brook, New York.
Essential Position: This has been designated as an essential position based on the duties of the job and the functions performed.
