Associate General Counsel - Compensation The Role: Associate General Counsel - Compensation The Grade/Level: 14 (relevant to internal applicants only) The Location: New York, NY or USA Virtual The Opportunity: S&P Global is seeking an energetic, business-minded and self-motivated attorney with 7+ years of proven executive compensation and governance experience gained at a leading national law firm and/or in-house (ideally at publicly-traded company) to join its corporate legal team. This attorney should have a track record that demonstrates a strong knowledge of the law, sound practical judgment, and the ability to succeed in a dynamic, fast-paced, collaborative client-facing environment. In this position, the successful candidate will interface with members of the company's management and HR teams at S&P Global's 55 Water Street headquarters and the company's offices around the world to manage and execute on a broad range of compensation and executive compensation matters, as a member of our legal department that is valued for its clear, concise and practical advice. This position supports a business of ~$11 billion in revenue and ~40,000 employees located around the world. Reporting Line: This position reports directly to the Deputy General Counsel & Corporate Secretary (who is based in New York).
Key responsibilities:
Executive compensation - advise on:
All aspects of executive compensation, including corporate, securities, tax and governance issues
Equity and incentive compensation plan design, interpretation, operations and tax and regulatory compliance on a global basis
Employment, severance and change-in-control agreements for compensation-related issues
Efforts to prepare, implement and refine best-in-class practices, policies, guidelines, tools, programs and forms that align with the company's employee engagement strategy, values and business goals
M&A and other strategic transactions on policy, design and implementation aspects of compensation and executive compensation arrangements, including due diligence, pre-close readiness preparation and post-close implementation and integration activities
Governance - advise on:
Proxy compensation disclosure and periodic reporting (Forms 8-K)
Governance best practices, ISS/Glass Lewis and Dodd-Frank and best practices developments
Compensation Committee agendas, resolutions, and materials
Regulatory, securities and tax compliance - disclosure, filings and compliance under:
Federal and state securities law (including ???16 insider transaction reporting, proxy filing, and Form 8-Ks)
Dodd-Frank, Sarbanes-Oxley, ERISA, tax code (including ???409A and ???280G)
NYSE requirements
Any changes in law and regulation that have impact on executive / employee compensation
What We're Looking For:
7+ years of relevant experience gained at law firm and/or in-house (ideally at a publicly-traded company).
JD or LLM from an accredited law school and maintains active bar membership in at least one US state .
Candidate must have exceptional business judgment, legal issue identification and problem-solving skills.
Requires a practical, business-oriented approach to problem-solving; candidate must be able to effectively counsel internal clients by providing them with clear, concise and commercial advice, and creative solutions where necessary, on established timelines to meet their business needs.
Candidate must be able to operate autonomously while being a team player who brings a positive, "can do" attitude to the workplace and works collaboratively with other members of the Legal team and with internal clients.
Preferred Qualifications:
Significant advisory experience
J.D. with exceptional academic credentials
Successful track record of in-house or similar advisory experience

Compensation/Benefits Information (US Applicants Only): S&P Global states that the anticipated base salary range for this position is $148,000 to $300,000. Final base salary for this role will be based on the individual's geographical location as well as experience and qualifications for the role. In addition to base compensation, this role is eligible for an annual incentive plan. This role is eligible to receive additional S&P Global benefits.
