Overview
Governance Paralegal
Responsibilities include:
Support the Board of Directors and its committees in all respects, including
prepare and organize corporate governance documents such as agendas, resolutions, consents, and minutes
coordinate and plan Board and committee meeting schedules and logistics (which may be conducted in a virtual, in-person or hybrid format)
manage the set-up and technical specifications for materials and rooms in connection with Board and committee meetings
assist attorneys with the preparation of substantive materials and presentations for Board and committee meetings
lead the administration of the company's electronic board portal (e.g., maintain mastery of technical skills in all aspects and modules of the portal, schedule training for users and liaise with information technology personnel on technical, security and other issues), and manage distributions of Board and committee meeting materials and communications through the portal
facilitate communication and serve as a key point of contact regarding Board-related information, including in connection with regulatory filings and inquiries from internal and external stakeholders
Work closely with Corporate Secretary and attorneys in the Office of the Corporate Secretary to identify priorities and enhance process with respect to Board-related matters
Assist attorneys with timely preparation and review of quarterly, annual and other securities filings (10-Q, 10-K, proxy statement, etc.), annual certifications and other notifications and reports to the NYSE, including the coordination and maintenance of backup documentation
Contribute to various aspects of the company's capital markets transactions, including the management of the documentary diligence process and the coordination of closing documentation
Assist with corporate governance-related matters, including the preparation and distribution of Directors and Officers questionnaires, Board and Committee self-assessment surveys, and new director onboarding materials
Support the administration of legal entity governance, including maintenance of books and records for corporate entities and inputting of data into the corporate entity management database or other system with information on legal entities (including the state of incorporation, qualifications to do business, stock and organizational structure), entity officers and board of directors
Support legal and business unit personnel, as needed (e.g., M&A and other transactional; due diligence; audits; litigation responses)
Assist in the preparation of other corporate policies and documents and record-keeping
Conduct legal and business research as required
Qualifications
Bachelor's degree is required (paralegal certification is preferred)
5+ years of experience at a law firm and/ or legal department of a public company, with a focus on corporate and/ or contract matters. Experience in a financial services firm is preferred
