We Offer Exciting opportunity to join a dynamic and collaborative team providing company secretarial administrative support to Corporate Secretary. The role will be mixed and varied, with scope to grow for someone who is interested in furthering their career in corporate governance. You will be exposed to a broad range of work and have a high degree of partner engagement with senior and expert executives, while getting strong support and mentorship from local and offshore team members. Job responsibilities include:
Assisting with corporate secretarial matters and corporate governance issues in respect of Credit Suisse Group entities in Asia Pacific (with particular focus in Singapore, Hong Kong and China), including organization and holding of regular and ad-hoc directors' meetings and attendance to ancillary matters, annual general meetings, preparation of board and shareholders' resolutions, preparation and review of documentation in compliance with statutory and regulatory requirements, attending to requests and matters generally in relation to corporate organization, authorizations, corporate governance matters originated from offices in Asia Pacific
Preparing relevant documentation and processes in relation to the appointment/resignation of Board Directors and company officers, including consents to act and letters of resignation for directors joining/resigning and other corporate actions (i.e. returns of capital, cancellation of shares, share issuances etc.)
Collaborating closely with external auditors and internal partners with respect to the annual audit of financial statements
Maintaining corporate registers, including share registers, director registers, members register etc
Participating in global and regional projects including liaising/coordinating with partners within Credit Suisse as well as external service providers
Maintaining and updating, as required, authorized signatory lists and powers of attorney and respond to KYC requests
Collaborate and work closely with onshore and offshore colleagues and relevant partners in other regions and departments on global enquiries and other statutory and regulatory reporting
Work with other partners in the establishment of new entities and closure of dormant entities in Asia Pacific (with particular focus in Singapore, Hong Kong and Greater China); and
Organize and maintain a centralized filing of the corporate entity information, including internal procedures, know-how, training material and other resources, of Credit Suisse Group entities in Asia Pacific, stored on CS systems.
