Under the supervision of the Chief Executive Officer (CEO), the General Counsel of Omni Family Health (OFH) is responsible for the provision and management of the legal services and affairs of a growing network of state-of-the-art health centers located throughout the southern San Joaquin Valley of California, in Kern, Kings, Tulare and Fresno counties. Responsibilities include assessing and managing business and legal risks, drafting and negotiating a wide range of contracts with providers, landlords, vendors, and financial institutions, and providing guidance on regulatory and compliance issues, employment and other healthcare regulations. The General Counsel will be expected to develop and maintain positive relationships with leadership, providers, staff and vendors within the healthcare delivery system.
Job Duties:
1. Provides guidance, legal opinions and legal memoranda to all levels of management on legal compliance and regulatory issues.
2. Develops strategies, systems, and processes that will minimize the sources and degree of risk faced by the company on a daily basis while maintaining business objectives.
3. Reviews and participates in the development of or providing input on strategic plans, execution plans, risk policy and risk tolerance, annual budgets and business plans.
4. Reviews, drafts and negotiates a high volume of contracts, including physician agreements, real estate leasing/purchase agreements, employment contracts, software licenses, and financing agreements, while collaborating with internal staff and outside counsel, as necessary.
5. Prepares or reviews documentation related to financial transactions and corporate governance documents.
6. Responds or assists in responding to patient complaints, subpoenas, malpractice claims, and governmental audits and inquiries.
7. Develop, draft, review and update transactional documents associated with dispositions and financing.
8. Provides expertise and guidance on Stark law, Anti-Kickback statute, legal compliance, cyber incident planning, cyber contingency planning, and audits regarding same.
9. Provides due diligence and definitive agreements for transactional matters.
10. Works closely with internal and external stakeholders to define a strategies and contingencies on legal actions taken against or filed on behalf of the company.
11. Reviews, drafts, negotiates, and executes business agreements, contracts, licenses, and other legal agreements with partners and vendors.
12. Advises and supports company on debt financing initiatives, including, negotiating lines of credit, bond financings, and New Market Tax Credit transactions.
13. Assessing and advising on current and future business structures and legal entities.
14. Advises on patient-related issues, including patient consent, ethics and privacy related issues.
15. Oversees the selection, retention, management and evaluation of outside counsel.
16. Sets performance objectives for the legal team and collaborating with peer teams with respect to their objectives as they relate to legal or regulatory considerations (e.g., compliance).
17. Remains abreast of relevant laws and regulations impacting the healthcare industry.
18. Maintains working knowledge of and provides legal guidance on special regulatory issues impacting Federally Qualified Health Centers (FQHCs) including, but not limited to, health center compliance, Health Insurance Portability and Accountability Act (HIPAA), Federal Tort Claims Act (FTCA) and Federally Supported Health Center Act (FSHCA)
19. Drafts and reviews policies and forms as necessary.
20. Conducts legal research as necessary.
21. Attends and contributes at departmental meetings, Board of Directors and committee meetings, and attends external meetings, groups or events as appropriate to the scope of the position and/or as assigned.
22. Other work-related tasks as assigned.
Additional Duties:
1. Health Insurance Portability and Accountability Act (HIPAA) compliance: Responsible for maintaining abreast of and in compliance with all HIPAA regulations and requirements.
2. Compliance: Ensure compliance with all local, state and federal regulations.
3. Quality Assurance/Quality Improvement (QA/QI): Participate as required in QA/QI activities and contribute towards the overall quality improvement initiatives of the organization.
4. Information Technology (IT): May be required to learn and use the electronic health record and its components as required by the job functions and highlighted in the policies and procedures. These components include NextGen, PMS, QSI and other electronic features as they are developed and implemented, as applicable to work environment.
5. Patient Centered Medical Home (PCMH): All employees will participate in PCMH at Omni Family Health.
6. Audits: Provides appropriate support for required regulatory events such as the Health Resources and Services Administration (HRSA) Operational Site Visit (OSV), The Joint Commission and other audit events as requested.

Education and Experience:
Bachelors and Juris Doctor degrees are required. Member in good standing of California State Bar required.
A minimum of three years of practice in either a law firm or in-house counsel role in a healthcare setting is required.
Candidate must have excellent communication skills and have the ability to educate and engage with a diverse workforce.
Experience in Federally Qualified Health Center (FQHC) or other healthcare environment is preferred.
Certifications in healthcare compliance (CHC) and/or privacy/cyber security (CHPS, CISSP) is a plus.
Experience in employment law is a plus.
Experience with insurance companies and their policies is a plus.

9. Self-motivated; demonstrates autonomy and flexibility with advanced problem-solving and decision-making abilities.
10. Proven ability to handle all information and data with confidentiality and security.
11. Excellent skills in Microsoft Word, Outlook, Excel and PowerPoint required.
12. Project management training and/or experience preferred.
