Senior Corporate Paralegal

This is an exciting opportunity for an ambitious individual to join the RELX global corporate secretariat function which comprises teams in London, the United States, Amsterdam and India

Based in Delaware, but eligible for hybrid (home/office working) the individual will work closely with the Corporate Secretariat Team in all aspects of managing the corporate secretarial and governance functions including drafting resolutions and written consents, maintaining corporate minute books, preparing and compiling annual reports, state qualifications and other compliance information for filing at various state agencies as well as loading into Diligent Entities (BluePrint). Candidates should enjoy working independently, while collaborating and communicating with team members and colleagues at different locations.

Job Description:

• Performs a variety of law-related tasks under the direction of the organization's corporate secretary, attorneys and mergers/acquisitions teams
• Conducts legal research, drafts legal documents, prepares and files state corporate filings and performs other related duties
• General Office Administrative Projects

General Profile

• Assist and work side-by-side with the Corporate Secretariat Team in all aspects of managing the corporate secretarial and governance functions including drafting resolutions and written consents, maintaining corporate minute books, preparing board meeting agendas and meeting minutes, coordinating meeting logistics, and compiling information for and loading into Diligent Entities (BluePrint)
• Draft and/or obtain corporate organization and governance documents, including articles, bylaws, powers of attorney, good standing certificates, foreign qualifications, conversions, dissolutions, and certified corporate documents 
• Assist with secretary of state regulatory filings by reviewing filing requirements, preparing forms for filing, working with other departments to obtain information necessary to complete forms, etc.
• Assist with preparation and filing of state annual reports
• Work on Special Projects relating to subsidiary management including integration and entity reduction
• Prepare and submit Expense Reports and Assist with Meeting and Travel

Candidates should possess the following qualifications:

• Minimum of 5+ years of experience as corporate paralegal in a law firm or corporation 
• Attention to detail and excellent verbal and written communication skills are essential. 
• Bachelor’s degree or equivalent; Paralegal certification preferred
