Position Summary:
Reporting to the President of the University, the General Counsel is solely responsible for the provision of in-house legal services for the Southern Oregon University (SOU), has primary responsibility for the provision of legal advice to Southern Oregon University and its Board of Trustees, serves as an advisor to the President as a member of Cabinet, and manages the university's legal, contracting, policy, risk mitigation and avoidance, and compliance functions. Responsible areas include, but are not limited to: contracting, risk management, compliance and implementation of federal and state laws, intellectual property oversight, statutory and rule interpretation, and administrative responsibilities as assigned.
Minimum Classification Qualifications:
A law degree from an ABA-accredited law school;Oregon State Bar membership in good standing or ability to obtain Oregon State Bar membership as soon as possible, no later than six months following appointment; andEight years experience as a practicing attorney, representing complex, multi-faceted organizations.Preferred Qualifications:
Significant legal experience representing institutions of higher education, with background in and familiarity with complex transactions;Proven ability to navigate a wide range of campus legal issues effectively, such as labor and employment, student affairs, civil rights, public records, privacy, intellectual property, risk management, compliance, data privacy and security, government employee ethics, and interfacing with outside counsel;Experience that demonstrates the ability to work effectively with high-level officials and executives in government, business, and educational organizations; andExpertise in the areas of contracting, finance, construction, and similar transactional matters.All Listed Duties:

Legal Advice
At the direction of the President and working closely with the SOU leadership team, provides in-house legal advising services, provides senior management with effective legal advice on university strategies, and may be directly involved in academic and non-academic business transactions in the initiation and negotiation of critical contracts.Participates in development and analyzing of university policies and procedures, providing ongoing counsel and guidance on legal matters and on legal implications of all matters. Advise on and assist with the development and modification of, regulations, policies, standard operating procedures, protocols, best practices, training, guidance and communication.Serves as a legal advisor to university management around specific critical employment issues and works closely with Human Resources on employee relations matters and employee complaints and investigations that may have legal consequences.Designs and delivers appropriate training to university staff and faculty on legal compliance, policies and procedures.Provides legal advice and policy analysis and advice to the University and, as needed, to its Board of Trustees, on matters of legal and administrative concern including, but not limited to, employment, finance, administrative law, civil rights, real property, contracts and risk, student affairs, transactions, intellectual property, and governance.Under the direction of the President is responsible for selection, engagement, and management of outside legal services as needed. Under the direction of the President, perform, manage and represent the university in all litigation activities on assigned matters through the trial and appellate stages, including research, pleadings, motions, discovery, depositions, conferences, trials, mediations, arbitrations, unfair labor practice proceedings, appeals, impasses, etc. Litigation matters include civil rights, Title IX, labor and employment, disability and public accommodation, breach of contract, administrative/agency actions and investigations, arbitrations, petitions for writ of certiorari and mandamus, garnishments, collections, privacy, defamation and other torts, and First Amendment and other constitutional violations.

Contracts Management
Oversees the university's contracting personnel in the review, , , negotiation, drafting and execution of contracts and their implementation. In addition, advises on public procurement activities by providing advice and guidance on complex procurement issues. Provides clear direction, establishes organizational structure and ensure success of the mission for achieving targeted outcomes, process efficiencies, and cost reduction goals.

Risk Mitigation and Avoidance
· Collaborates with various departments to evaluate and mitigate risks, evaluate the relevance and effectiveness of insurance plans, review new contracts or business proposals from a risk standpoint, advise SOU Risk Officer on claims and loss control activities, etc.
·Advises SOU Risk Officer and the SOU Contracts Administrative Officer/Risk Manager in the implementation of risk and insurance activities. Advises the Chief Fiscal Officer in the administration of Enterprise Risk Management
· Develop strategic action plans to mitigate threats and operational risks and monitor the progress of risk mitigation efforts.
