Overview The Paralegal will be responsible for supporting contracting needs under the direction of attorneys including working collaboratively with business partners to review contract requests and develop appropriate business terms including any applicable fair market value review, drafting contracts for attorney review, and advancing contracts through approval and signature processes. The Paralegal will have an opportunity to develop, with input and direction from other paralegals and attorneys, and implement a process for managing contracting requests, addressing requests for contract modifications, and monitoring contracts on an ongoing basis. Additionally, the role will involve providing support for a variety of due diligence projects related to Fairviews strategic transactions priorities. This work will include interacting with subject matter experts to gather due diligence materials and manage them in a database. Additional responsibilities include, but are not limited to, database management, file management, reporting, contributing to process review and development, coordinating and maintaining contract templates, policy education, and other work as needed. The Paralegal will use independent judgment to perform legal related work under the general supervision of an attorney. The Paralegal may work with any or all of the staff in the Legal Department on various legal matters. This position will be part of the Legal Department and will report to an attorney within the department, as well as indirect reporting to a senior paralegal. Responsibilities/Job Description Receive, review, and prepare contract requests: - Respond to and manage the advancement of contract requests. This includes working within the established process.
- Prepare and draft contracts based on developed business terms, fair market value review and legal standards.
- Develop and maintain contract templates for use by the Legal Department.
- Assist attorneys in identifying and investigating areas of legal risk related to the federal Stark rules when processing and reviewing contracts.
- Work with other business units as necessary (e.g. Risk, Finance, Supply Chain, Privacy, etc.).
- Respond to questions and inquiries.
- File management to ensure proper documentation is readily available in a clear and concise manner.
- Database management
- Tracking and reporting.
- Provide training as needed.
Assist with Due Diligence projects. Other work as needed: - Business Associate Agreements, as needed.
- Participate in process development.
- Review vendor, Business Associate, Non-Disclosure contracts and other contracts to identify legal issues prior to attorney involvement.
- Create, organize and manage contract templates for use by the Legal Dept to gain better efficiency.
- Prepare legal memos, correspondence, etc. on various topics.
- Identify opportunities for standardization and implement efficiencies in dept operations.
- Conduct routine and specific legal and factual research and data compilation.
- Perform issue analysis and identify alternative solutions
- Serve as a point of contact for internal and external customers when attorneys are unavailable or to determine which attorney to send the matter to.
- Assist with the upkeep of the Legal Dept website and create content for the website.
- Work cooperatively with the Legal Secretary on projects and file organization.
Qualifications Required Education - Bachelors Degree in related field or significant and relevant experience working as a paralegal
Experience - Previous experience as a Contract Specialist, Paralegal or equivalent position working for business or law firm or in a corporate or health or healthcare related field.
Preferred Education - Bachelors degree in legal, business or health care related field
Experience - Knowledge and experience working in health care
License/Certification/Registration - Paralegal Certificate from an American Board Association approved institution.
Additional Requirements (must be obtained or completed within a period of time) : Accuracy, detail oriented, critical thinking, organizational skills and ability to use MS office programs, including Teams. Prior experience working remotely a plus. |
