Background
Representing over 3,400 corporate secretaries, general counsel, and other in-house governance professionals at public and private companies, law firm practitioners, and service providers to the governance community, the Society for Corporate Governance (the “Society”) is the voice of the corporate issuer representing governance practitioners. The Society is a thought leader with an excellent reputation for improving practices in corporate governance and disclosure, regulation, and shareholder relations. We believe good governance results in long term shareholder value and the longevity of US companies and the US public markets.
Position
This position seeks an individual with significant knowledge and expertise in the fields of corporate governance, securities law, or ESG. S/he should be passionate about governance, a mentor, strategic thinker and effective collaborator in order to fully leverage the Society’s broad knowledge and practical expertise. Advocacy viewpoints will be informed by the Society’s members’ views, the Policy Advisory Committee and other National or Board Committees as warranted. It will also be informed by discussion with external partners and/or other thought leaders or organizations in the corporate governance industry. The Society prides itself on being able to work with all constituents and be a positive force in the governance industry.
Essential Duties and Responsibilities
Reporting to the President and CEO, the VP, Policy and Advocacy will take the lead in developing and implementing the organization’s policy agenda at the national level. Responsibilities include, but are not limited to:
• Identifying the Society’s policy and advocacy goals in collaboration with Society leadership and its member led committees;
• Staffing the Society’s Policy Advisory Committee, and its National committees focused on securities law disclosures and other governance practices;
• Staffing the Society’s Sustainability Practices Committee;
• Implement strategy for advancing policy goals with key decision-makers focused on achieving the Society’s advocacy goals and support the Society’s overall mission and strategy;
• Writing and/or editing Society thought leadership and comment letters or testimony;
• Serving as a liaison between the Society and any advocacy partners on specific joint projects, coordinating with other staff, committees, or department as needed/appropriate;
• Communicating with and briefing members of Congress, SEC, their staff and agency officials through in-person meetings, written communications, and phone calls as directed and in consultation with the CEO;
• Work across the organization to support alignment of policy and advocacy work with programs, communications and the organizational strategy;
• Reporting to the Society Board on policy and advocacy issues and strategies;
• Writing, speaking, presenting as a contributor at Society conferences or other events;
• Attending key governance events and soliciting speakers for Society events.
Qualifications and Experience
• Ability to design and execute strategic advocacy programs;
• A minimum of 10 years of experience on issues related to corporate governance, securities law, ESG, corporate regulation, shareholder engagement, or other similar subjects, OR a minimum of 8 years practicing in the field of corporate governance;
• JD preferred, but not required with appropriate experience;
• Demonstrated ability to analyze public policy proposals, including the drafting of comment letters;
• Ability to effectively use data in shaping policy messages to communicate complex information clearly in writing and in oral presentations to a range of audiences;
• Capacity to innovate and problem solve;
• Must be able to travel (25-30% time)
Compensation
This is a full-time, permanent position in NYC. However, it may be done virtually remotely with occasional travel to NYC and other US locations. All staff are currently working remotely. Compensation is commensurate with experience and includes a generous benefits package including health, dental and vision, 401k match, and PTO. Position is bonus eligible.
