We are conducting an Exclusive Search for a Senior Counsel. Our client, an industry-leading chemical corporation headquartered in Dallas Texas, who manufactures a wide range of chemicals, is seeking a Senior Counsel with a strong transactional, commercial, and contracts background.
This position offers an opportunity to do a diverse range of work, assume significant responsibility, and work closely with sophisticated internal business clients in a collegial environment at a premier global corporation doing cutting-edge work.
There is also a 9/80 work schedule with every other Friday off of work.
Responsibilities:
Provide accurate and timely legal advice on all aspects of Company’s business in a professional manner to a diverse, cross-functional group of internal clients.
Draft, negotiate and interpret commercial agreements, including product supply and distribution agreements; purchasing contracts for goods, services and raw materials; licensing and technology agreements; and transaction documents for acquisitions, dispositions and joint ventures.
Provide legal advice with respect to resolution, avoidance and mitigation of claims and disputes.
Identify and advise on regulatory and compliance issues.
Support legal due diligence on acquisitions and divestitures.
Manage outside legal counsel, as required, in the most cost-effective manner.
Minimum of 8-10+ years of strong transactional experience at either a top law firm or in-house.
Ideal candidate will have in-house experience, as well as at least 3 years experience from a top-tier law firm.
Experience in the chemical or manufacturing industry is a plus, but not required.
Doctor of Jurisprudence (J.D.) from a top tier national law school.
Strong academic credentials and a stable work history are mandatory.
Licensed to practice law in at least one jurisdiction.
Ability to independently research and analyze issues and provide clear guidance to internal clients regarding potential legal risk.
Ability to think strategically and to appreciate the business impacts of different legal courses of action.
Exceptional verbal and written communication skills.
Exceptional interpersonal and organizational skills; must be able to interact with, and inspire confidence in, individuals at all levels of the organization.
