Under general direction of the managing attorney or senior legal specialist, the Legal Specialist I performs a variety of legal services and project management services on corporate, contract and commercial matters as a member of a legal department supporting pharmaceutical, logistics and healthcare technology businesses. The Legal Specialist I must have sufficient experience and ability to function as an independent professional.
PRIMARY DUTIES AND RESPONSIBILITIES:
Drafting, reviewing, evaluating and negotiating a wide variety of commercial contracts, including, without limitation, pharmaceutical distribution agreements, confidentiality agreements, license agreements, service agreements, logistics agreements and consulting agreements.
Familiar with laws governing healthcare privacy (HIPAA), including handling Business Associate Agreements (BAAs). Assist attorneys with processing, adhering to standard contract requirements and negotiations for BAAs. Serve as the initial “go to person” to for BAA contracts.
Coordinating the review and negotiation of contracts with business clients, management and Corporate Counsel, as applicable, and ensuring that contracts accurately reflect the business objectives.
Advising business clients on the material terms and risks of proposed contracts.
Identifying material issues or risks and elevating issues to Corporate Counsel as appropriate.
Working with business clients, Corporate Counsel and outside stakeholders to minimize the company’s risk exposure through contracts.
Providing project management assistance in connection with commercial contracting, including, without limitation, tracking and reporting on the status of contracts.
EXPERIENCE AND EDUCATIONAL REQUIREMENTS:
Requires good research experience, writing, communication and computer skills; normally requires a minimum of three (3) or more years of progressively responsible and directly related experience. Experience in the healthcare industry, either at a law firm or company, is required. Experience in a large law firm or the legal department or contract administration group of a public company is desirable.
