GENERAL PURPOSE OF THE JOB Provide legal advice and guidance to members of the Board of Directors and senior executives on a variety of significant matters that arise in the fast-paced environment of a growing publicly traded Fortune 500 healthcare company. Together with other attorneys, support the Compensation Committee of the Board of Directors and help manage matters relating to executive compensation and benefits, corporate governance and securities law compliance. ESSENTIAL DUTIES AND RESPONSIBILITIES The following duties and responsibilities generally reflect the expectations of this position but are not intended to be all-inclusive. • Advise the Board of Directors and senior executives on executive and director compensation and employee benefits matters including annual cash and equity incentive plan design, interpretation and administration; employment, severance and transition agreements; and issues relating to various benefits programs. LOCATION • Position is located in El Segundo, California business office or Denver, Colorado world headquarters.

MINIMUM QUALIFICATIONS • JD from an accredited law school.
